The most common forms of business organizations operating in Lebanon

Below is a brief of the main requirements for the constitution of a Limited Partnership by Shares:

• Minimum number of Partners is (2) two.

• Minimum initial capital is LBP/30,000,000/ (approximately USD/20,000/) and should be always determined in Lebanese Pounds.

• Partners in the Limited Partnership by Shares is divided into two categories:

a. General Partner(s) (“Commandités”).

b. Limited Partner(s) (“Commanditaire”)

• Managed by the General Partner(s) (“Commandités”) and are jointly and severally liable for all debts and obligations of the Partnership.

• Limited Partner(s) (“Commanditaire”) are liable up to the amount of their contribution into the Partnership.

• Must necessarily have headquarters in Lebanon.

• Must necessarily appoint one auditor.

• Must necessarily appoint a lawyer.
